Terms of Use

Effective date: 22.09.2026. The current version of this document is always published on this page.

These Terms of Use govern the use of the osdosistan service provided by OSDO Arge (the “Provider”) by the business that signs up (the “Business”). By using the service you agree to these terms. The service is offered only to commercially active businesses and is not directed at consumers.

1. Service Description

osdosistan is a limited-scope customer messaging tool that helps the Business answer customer messages on its WhatsApp Business line, book appointments and handle support/order flows. The owner manages the assistant through a manager channel on Telegram. It is not offered as, and may not be used as, a general-purpose AI assistant.

2. Eligibility and Authority

  • The user must be over 18 and authorized to represent the Business.
  • The connected WhatsApp Business account must belong to and be used with authorization by the Business.
  • The Business must take into account that some end-customers may be under 18 and configure the service and knowledge base accordingly. The assistant performs no age verification.

3. Account and Security

You are responsible for the confidentiality of your credentials and for activity under your account. Actions of persons you grant access to the manager channel are attributed to the Business. Notify us immediately of any unauthorized use.

4. Acceptable Use

  • The service may not be used to send spam, misleading, abusive or unlawful content.
  • Compliance with the WhatsApp Business Policy and Meta platform terms is mandatory; violations may lead to suspension.
  • The service may not be repositioned or used as a general-purpose chat/assistant bot.
  • The knowledge base may not be configured so as to make the assistant answer on out-of-scope topics (price negotiation, medical, legal or financial advice).

5. Commercial Electronic Messages and İYS

Promotional, campaign and marketing messages sent to end-customers through the service are commercial electronic messages within the meaning of Law No. 6563 on the Regulation of Electronic Commerce and its implementing regulation. For those messages the Business is the service provider and bears the following obligations:

  • Obtaining the recipient’s prior consent and registering it with the Message Management System (İYS) before sending.
  • Being registered with İYS and keeping consent/refusal records synchronized with it.
  • Stating its trade name and MERSİS number, contact details and the nature of the message (promotion/campaign, etc.) in every message.
  • Providing an opt-out mechanism and applying refusal requests without delay.
  • Never making consent a precondition of the service. Phone numbers collected without consent may not be used for marketing.

Transactional and informational messages such as appointment reminders and order/reservation notices are outside this scope, but must not carry promotional content. The Provider does not collect consent or make İYS registrations on the Business’s behalf; the Business is liable for administrative sanctions and claims arising from breach of these obligations.

6. Data Protection and the Data Processing Agreement

For end-customer data the Business is the controller and the Provider is the processor. A separate Data Processing Agreement (DPA) is signed between the parties; where the DPA conflicts with these Terms, the DPA prevails on matters concerning personal data.

  • The disclosure obligation towards end-customers rests with the Business. The Provider supplies a ready disclosure notice during setup; adapting and publishing it is the Business’s responsibility.
  • The accuracy, currency and lawfulness of knowledge-base content are the Business’s responsibility.
  • If the Business operates in a sector requiring processing of special-category data (e.g. health data), it must notify us before setup.
  • The Provider notifies the Business without delay of any data breach it becomes aware of; the obligation to notify the Board rests with the Business.

7. Statements and Liability Regarding AI Output

  • Assistant replies are generated by a large language model. The Provider does not warrant that outputs will be accurate, complete or current in every case.
  • The assistant answers only from the Business’s knowledge base; where the answer is absent it does not invent one and hands off to a human. The accuracy of the underlying information is the Business’s responsibility.
  • The assistant does not give medical, legal, financial or similar professional advice, and its replies may not be construed as such.
  • Appointments, reservations and similar records created through the assistant should be confirmed by the Business.
  • The Business is responsible towards its own customers for the content of the assistant’s communications with them.

8. Intellectual Property

All rights in the osdosistan software, marks, interface and content belong to OSDO Arge. Knowledge-base content provided by the Business remains the Business’s; the Business grants the Provider the right to use it solely to deliver the service for its duration. That content is not used for model training.

9. Fees, Billing, Cancellation and Refunds

  • Fees depend on the selected plan and are charged via the payment provider. Taxes apply at the relevant rates.
  • Platform-originated costs such as WhatsApp message/template fees are borne by the Business unless the plan states otherwise.
  • No refunds: Subscription fees and setup fees are non-refundable. The Business may cancel at any time; cancellation stops the next renewal, the fee paid for the current period is not refunded, and the service stays active until the end of that period.
  • If the account is deleted from the panel, billing stops immediately and the service ends; the fee paid for the current period is likewise not refunded.
  • Fee changes are notified at least thirty days before they take effect. Continuing to use the service after notice constitutes acceptance; a Business that does not accept may terminate before the effective date.
  • Failed payments are retried with notice; if payment is not completed the service may be suspended.

10. Service Level and Interruptions

We make reasonable efforts for continuity; however temporary interruptions may occur due to planned maintenance, third-party causes (e.g. WhatsApp/Meta, the model provider) or force majeure. Force majeure covers natural disaster, war, cyber attack, infrastructure and electronic communications outages, regulatory change and similar events beyond the parties’ reasonable control. The Provider endeavours to announce planned maintenance in advance.

11. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential damages (including loss of profit, data or business). Our total liability is limited to the service fees paid to us in the twelve months preceding the event giving rise to the claim.

This limitation does not apply to damages arising from intent or gross negligence, to death or personal injury, or to liability arising from mandatory provisions including data protection legislation (Turkish Code of Obligations Art. 115).

12. Indemnity

The Business agrees to indemnify the Provider against third-party claims, administrative fines and damages arising from its use of the service in breach of these Terms, the DPA or applicable law (in particular the KVKK and Law No. 6563), from knowledge-base content and from the sending of commercial electronic messages.

13. Suspension and Termination

  • We may suspend or terminate the service upon breach of these Terms, the DPA or platform policies. Where the nature of the situation permits, notice and a reasonable cure period are given before suspension.
  • The Business may cancel its subscription at any time; cancellation stops the next renewal and the service stays active until the end of the current period. The Business may also end the service immediately by deleting its account from the panel. In either case fees paid are non-refundable (see Section 9).
  • If the Provider plans to discontinue the service entirely, it gives at least sixty days notice.

14. Effects of Termination and Return of Data

  • Before deleting its account, the Business may download its knowledge base and conversation records in a machine-readable format using the data export feature in the panel. Exporting is the Business’s responsibility.
  • For seven days after an account-deletion request, the deletion can be undone from the panel. At the end of that period the Business’s knowledge-base content and end-customer data are deleted, destroyed or anonymized; data of a deleted account cannot be restored.
  • Where a subscription is cancelled but the account is not deleted, the data continues to be kept, subject to the periods in Section 9 of the Privacy Policy, until the account is deleted.
  • Data that must be retained by law (e.g. invoices and financial records) is kept only for the relevant statutory period with restricted access.
  • Retention periods are published in Section 9 of the Privacy Policy.

15. Assignment

The Business may not assign its rights and obligations without the Provider’s written consent. The Provider may assign the agreement in case of merger, demerger or transfer of business, with notice to the Business.

16. Notices and Service of Process

Notices under this agreement may be given to the e-mail address registered in the Business’s account, by in-panel notification or through the manager channel. Legal notifications are served via the registered e-mail address osdo.arge@hs01.kep.tr and the KEP/address notified by the Business. Unless address changes are notified in writing, service to the last notified address is valid.

17. Governing Law and Jurisdiction

These terms are governed by the laws of the Republic of Türkiye. The courts and enforcement offices of İzmir have jurisdiction.

18. Changes, Version and Effect

These terms may be updated. Material changes adverse to the Business are notified at least thirty days before taking effect. The current version is published on this page and acceptance records (date, version) are kept. Effective date: 22.09.2026.

In case of conflict between the Turkish and English versions, the Turkish text prevails. The invalidity of any provision does not affect the validity of the others.
